Your Impact at PLATFORM
We are seeking a detail-oriented and proactive Corporate Law Clerk to join our legal team. The successful candidate will support the General Counsel in managing the company’s corporate governance obligations, maintaining corporate records, and preparing legal documentation. This role is ideal for a law clerk with experience in corporate law, particularly in a regulated industry such as insurance.
· Maintain and update corporate minute books for the company and its subsidiaries.
· Prepare and file annual resolutions, director and officer changes, and other corporate filings.
· Assist with the preparation of board and shareholder meeting materials, including agendas, resolutions, and minutes.
· Assist with the preparation and updating of compliance policies and procedures.
· Monitor and ensure compliance with applicable corporate statutes and regulatory requirements
· Draft and revise corporate governance documents, including resolutions, consents, and organizational charts.
· Assist in the preparation and review of contracts, non-disclosure agreements, and other legal documents.
· Coordinate execution and notarization of legal documents and maintain document management systems.
· Provide administrative and legal support to the General Counsel on a wide range of corporate and regulatory matters.
· Conduct legal research and assist with internal investigations or compliance audits as required.
· Liaise with external counsel, regulators, and internal departments as needed.
· Support corporate transactions such as incorporations, dissolutions, and reorganizations.
· Assist with insurance licensing and regulatory filings, as applicable.
· Maintain confidentiality and handle sensitive information with discretion.
Education, Experience & Qualifications
· Law Clerk Diploma or equivalent certification from an accredited institution.
· Minimum 3 years of experience as a corporate law clerk, preferably in the insurance or financial services sector.
· Strong knowledge of the Ontario Business Corporations Act and Canada Business Corporations Act.
· Proficiency in Microsoft Office suite and familiarity with AI platforms such as CoPilot and Chat GPT are an asset.
· Excellent organizational, drafting, and communication skills.
· Ability to work independently and manage multiple priorities in a fast-paced environment.
